Ces conditions générales régissent l'utilisation d'Alsyst Control Center et les prestations commandées depuis controlcenter.alsyst.com. En créant un compte ou en passant commande, vous les acceptez au nom de votre entreprise.
1. Parties et champ d'application
Le prestataire est ATS Capital SA, Suisse, qui exploite la marque Alsyst (« Alsyst »). Le client est l'entreprise qui crée le compte ou passe commande (« le client »).
Le service s'adresse exclusivement aux entreprises et aux professionnels, et non aux consommateurs. Des conditions particulières convenues par écrit (offre, contrat) prévalent sur ces conditions générales.
2. Le service
Alsyst conçoit, installe et exploite un centre de pilotage d'entreprise configuré pour le client (projets, tâches, équipes, clients, objectifs, budgets, documents, automatisations, agents IA, etc.).
Le parcours comprend : une démo configurée (prototype accessible 30 jours, avec un nombre d'ajustements inclus selon la formule), la conception et l'installation, la mise en production, puis l'abonnement mensuel. Le contenu exact dépend de la formule, des modules et des options choisis et récapitulés dans l'espace client au moment de la commande.
3. Compte
Le client fournit des informations exactes et à jour et protège l'accès à sa messagerie, qui sert à se connecter. Toute action effectuée depuis le compte est réputée faite par le client. Le client signale sans délai tout usage non autorisé.
4. Prix, paiement et factures
Les prix affichés sont par entreprise, hors taxes (TVA en sus le cas échéant), en CHF, EUR ou USD selon le pays. Le montant facturé est celui calculé et affiché au moment de la commande.
Les paiements se font par Stripe. La démo (CHF 190 ou l'équivalent) est déduite du prix de l'installation si le client poursuit. Chaque étape (démo, installation, mise en production) se paie avant d'être réalisée.
L'abonnement est souscrit pour 12 mois, payable chaque mois, puis se renouvelle de mois en mois sauf résiliation (point 12). Les montants payés ne sont pas remboursables une fois la prestation correspondante commencée, sauf accord écrit d'Alsyst.
5. Démo et ajustements
La démo est un prototype de démonstration : elle peut contenir des données d'exemple et ne constitue pas le produit final. Les ajustements inclus dans la formule sont traités dans l'ordre de réception ; les demandes supplémentaires ou hors périmètre font l'objet d'un devis préalable.
6. Collaboration du client
Le client fournit en temps utile les informations, contenus, accès et validations nécessaires. Les délais d'Alsyst sont prolongés d'autant en cas de retard du client. Le client garantit disposer des droits sur les contenus qu'il transmet (logo, textes, données) et que leur utilisation ne viole aucun droit de tiers.
7. Connexions à vos outils et clés d'accès
Le client peut confier à Alsyst des clés d'accès (API) à ses outils tiers, une fois la mise en place payée. Il autorise Alsyst à les utiliser uniquement pour configurer et faire fonctionner les connexions demandées.
Le client reste titulaire et responsable de ses comptes tiers, de leurs conditions d'utilisation et de leurs coûts. Il donne de préférence des clés aux droits limités et peut les retirer à tout moment ; le retrait peut interrompre les connexions concernées.
Alsyst n'est pas responsable des interruptions, changements de conditions, limites ou modifications techniques des services tiers, ni des conséquences d'une clé erronée, expirée ou révoquée.
8. Intelligence artificielle et contenus générés
Le service utilise des modèles d'intelligence artificielle (assistant, agents, synthèses, brouillons). Leurs résultats peuvent être incomplets ou inexacts et doivent être vérifiés par le client avant toute décision ou envoi.
Les réponses de l'assistant et des agents ne constituent pas un conseil juridique, fiscal, comptable, financier ou en matière de sécurité. Les entreprises, chiffres et situations présentés dans les exemples du site sont fictifs et illustratifs.
9. Disponibilité et avertissement
Alsyst met en œuvre des moyens raisonnables pour assurer la disponibilité et la sécurité du service, sans garantir un fonctionnement ininterrompu ou exempt d'erreurs. Des maintenances peuvent avoir lieu ; les interventions planifiées importantes sont annoncées à l'avance lorsque c'est possible.
Alsyst ne garantit aucun résultat économique particulier (gain de temps, économies, chiffre d'affaires). Les estimations présentées sur le site ou dans les échanges sont indicatives. Le client reste seul responsable de ses décisions, de l'exactitude des données qu'il saisit et de leur sauvegarde lorsqu'elles proviennent de ses propres systèmes.
10. Responsabilité
Alsyst répond des dommages causés intentionnellement ou par négligence grave. Dans la mesure permise par la loi, toute autre responsabilité est exclue, de même que la responsabilité pour les dommages indirects ou consécutifs (perte de gain, de données, d'exploitation, atteinte à la réputation).
Dans tous les cas, la responsabilité totale d'Alsyst est limitée aux montants payés par le client au cours des 12 mois précédant l'événement dommageable. Ces limites ne s'appliquent pas lorsque la loi l'interdit.
11. Propriété intellectuelle et données
Alsyst conserve tous les droits sur sa plateforme, ses modèles, son code et sa méthode. Le client obtient, pendant la durée de l'abonnement, un droit d'utilisation non exclusif et non transférable de son centre de pilotage.
Le client reste propriétaire de ses données. À la fin du contrat, il peut en demander l'export dans un format courant pendant 30 jours ; elles sont ensuite supprimées, sous réserve des obligations légales de conservation. Alsyst peut mentionner le client comme référence avec son accord.
12. Durée et résiliation
L'abonnement dure 12 mois à compter de la mise en production, puis se poursuit de mois en mois. Il peut être résilié par écrit (e-mail) moyennant un préavis d'un mois pour la fin de la période d'engagement ou, ensuite, pour la fin d'un mois.
Chaque partie peut résilier avec effet immédiat en cas de violation grave non corrigée dans les 14 jours suivant une mise en demeure, notamment en cas de non-paiement. Alsyst peut suspendre l'accès en cas de retard de paiement ou d'usage abusif.
13. Confidentialité et protection des données
Chaque partie garde confidentielles les informations non publiques de l'autre. Le traitement des données personnelles est décrit dans la politique de confidentialité ; pour les données que le client fait traiter par son centre de pilotage, Alsyst agit comme sous-traitant selon ses instructions.
14. Modifications
Alsyst peut modifier ces conditions. Les changements importants sont communiqués au moins 30 jours avant leur entrée en vigueur ; le client peut alors résilier pour cette date. La version applicable est celle publiée sur cette page.
15. Droit applicable et for
Ces conditions sont soumises au droit suisse, à l'exclusion des règles de conflit de lois et de la Convention de Vienne sur la vente internationale de marchandises. Le for exclusif est au siège de ATS Capital SA, sous réserve d'un for impératif.
La version française fait foi en cas de divergence entre les traductions.

Diese Allgemeinen Geschäftsbedingungen regeln die Nutzung von Alsyst Control Center und die über controlcenter.alsyst.com bestellten Leistungen. Mit der Erstellung eines Kontos oder einer Bestellung akzeptieren Sie sie im Namen Ihres Unternehmens.
1. Parteien und Geltungsbereich
Leistungserbringerin ist die ATS Capital SA, Schweiz, welche die Marke Alsyst betreibt («Alsyst»). Kundin ist das Unternehmen, das das Konto erstellt oder die Bestellung aufgibt («die Kundin» bzw. «der Kunde»).
Der Dienst richtet sich ausschliesslich an Unternehmen und Berufsleute, nicht an Konsumentinnen und Konsumenten. Schriftlich vereinbarte besondere Bedingungen (Offerte, Vertrag) gehen diesen Allgemeinen Geschäftsbedingungen vor.
2. Der Dienst
Alsyst konzipiert, installiert und betreibt ein für die Kundschaft konfiguriertes Steuerungs-Center für Unternehmen (Projekte, Aufgaben, Teams, Kunden, Ziele, Budgets, Dokumente, Automatisierungen, KI-Agenten usw.).
Der Ablauf umfasst: eine konfigurierte Demo (Prototyp, 30 Tage zugänglich, mit einer je nach Variante inbegriffenen Anzahl Anpassungen), die Konzeption und Installation, die Inbetriebnahme und anschliessend das Monatsabonnement. Der genaue Inhalt hängt von der Variante, den Modulen und den Optionen ab, die bei der Bestellung gewählt und im Kundenbereich zusammengefasst werden.
3. Konto
Der Kunde macht genaue und aktuelle Angaben und schützt den Zugang zu seinem E-Mail-Postfach, das zur Anmeldung dient. Jede über das Konto ausgeführte Handlung gilt als vom Kunden vorgenommen. Der Kunde meldet jede unbefugte Nutzung unverzüglich.
4. Preise, Zahlung und Rechnungen
Die angezeigten Preise gelten pro Unternehmen, exklusive Steuern (gegebenenfalls zuzüglich Mehrwertsteuer), in CHF, EUR oder USD je nach Land. Massgebend ist der bei der Bestellung berechnete und angezeigte Betrag.
Die Zahlungen erfolgen über Stripe. Die Demo (CHF 190 oder der entsprechende Gegenwert) wird vom Installationspreis abgezogen, wenn der Kunde fortfährt. Jede Etappe (Demo, Installation, Inbetriebnahme) ist vor ihrer Ausführung zu bezahlen.
Das Abonnement wird für 12 Monate abgeschlossen, ist monatlich zahlbar und verlängert sich danach von Monat zu Monat, sofern nicht gekündigt wird (Ziffer 12). Bezahlte Beträge werden nach Beginn der entsprechenden Leistung nicht zurückerstattet, ausser mit schriftlicher Zustimmung von Alsyst.
5. Demo und Anpassungen
Die Demo ist ein Demonstrationsprototyp: Sie kann Beispieldaten enthalten und stellt nicht das Endprodukt dar. Die in der Variante inbegriffenen Anpassungen werden in der Reihenfolge ihres Eingangs bearbeitet; zusätzliche oder ausserhalb des Umfangs liegende Wünsche werden vorgängig offeriert.
6. Mitwirkung des Kunden
Der Kunde liefert rechtzeitig die erforderlichen Informationen, Inhalte, Zugänge und Freigaben. Die Fristen von Alsyst verlängern sich bei Verzögerungen des Kunden entsprechend. Der Kunde sichert zu, dass er über die Rechte an den von ihm übermittelten Inhalten (Logo, Texte, Daten) verfügt und dass deren Verwendung keine Rechte Dritter verletzt.
7. Verbindungen zu Ihren Tools und Zugangsschlüssel
Der Kunde kann Alsyst nach bezahlter Einrichtung Zugangsschlüssel (API) zu seinen Drittanbieter-Tools anvertrauen. Er ermächtigt Alsyst, diese ausschliesslich zur Einrichtung und zum Betrieb der gewünschten Verbindungen zu verwenden.
Der Kunde bleibt Inhaber und verantwortlich für seine Drittanbieter-Konten, deren Nutzungsbedingungen und deren Kosten. Er stellt vorzugsweise Schlüssel mit beschränkten Rechten zur Verfügung und kann sie jederzeit entfernen; die Entfernung kann die betroffenen Verbindungen unterbrechen.
Alsyst haftet nicht für Unterbrechungen, geänderte Bedingungen, Limiten oder technische Änderungen von Drittanbieter-Diensten und nicht für die Folgen eines fehlerhaften, abgelaufenen oder widerrufenen Schlüssels.
8. Künstliche Intelligenz und generierte Inhalte
Der Dienst verwendet Modelle der künstlichen Intelligenz (Assistent, Agenten, Zusammenfassungen, Entwürfe). Deren Ergebnisse können unvollständig oder ungenau sein und sind vom Kunden vor jeder Entscheidung oder Versendung zu überprüfen.
Die Antworten des Assistenten und der Agenten stellen keine Rechts-, Steuer-, Buchhaltungs-, Finanz- oder Sicherheitsberatung dar. Die in den Beispielen der Website dargestellten Unternehmen, Zahlen und Situationen sind fiktiv und dienen der Veranschaulichung.
9. Verfügbarkeit und Haftungsausschluss
Alsyst setzt angemessene Mittel ein, um die Verfügbarkeit und Sicherheit des Dienstes zu gewährleisten, garantiert aber keinen unterbrechungs- oder fehlerfreien Betrieb. Wartungsarbeiten können stattfinden; wesentliche geplante Eingriffe werden nach Möglichkeit im Voraus angekündigt.
Alsyst garantiert keinen bestimmten wirtschaftlichen Erfolg (Zeitgewinn, Einsparungen, Umsatz). Die auf der Website oder in der Korrespondenz dargestellten Schätzungen sind unverbindlich. Der Kunde bleibt allein verantwortlich für seine Entscheide, für die Richtigkeit der von ihm erfassten Daten und für deren Sicherung, wenn sie aus seinen eigenen Systemen stammen.
10. Haftung
Alsyst haftet für absichtlich oder grobfahrlässig verursachte Schäden. Soweit gesetzlich zulässig, ist jede weitere Haftung ausgeschlossen, ebenso die Haftung für indirekte Schäden und Folgeschäden (entgangener Gewinn, Daten-, Betriebsausfall, Reputationsschaden).
In jedem Fall ist die Gesamthaftung von Alsyst auf die vom Kunden in den 12 Monaten vor dem schädigenden Ereignis bezahlten Beträge beschränkt. Diese Beschränkungen gelten nicht, soweit das Gesetz dies verbietet.
11. Geistiges Eigentum und Daten
Alsyst behält alle Rechte an ihrer Plattform, ihren Modellen, ihrem Code und ihrer Methode. Der Kunde erhält für die Dauer des Abonnements ein nicht ausschliessliches und nicht übertragbares Nutzungsrecht an seinem Steuerungs-Center.
Der Kunde bleibt Eigentümer seiner Daten. Bei Vertragsende kann er während 30 Tagen deren Export in einem gängigen Format verlangen; danach werden sie gelöscht, vorbehältlich gesetzlicher Aufbewahrungspflichten. Alsyst darf den Kunden mit dessen Zustimmung als Referenz nennen.
12. Dauer und Kündigung
Das Abonnement dauert 12 Monate ab Inbetriebnahme und läuft danach von Monat zu Monat weiter. Es kann schriftlich (E-Mail) unter Einhaltung einer Kündigungsfrist von einem Monat auf das Ende der Mindestlaufzeit oder danach auf das Ende eines Monats gekündigt werden.
Jede Partei kann bei schwerer Vertragsverletzung, die nicht innert 14 Tagen nach Mahnung behoben wird, namentlich bei Nichtzahlung, mit sofortiger Wirkung kündigen. Alsyst kann den Zugang bei Zahlungsverzug oder missbräuchlicher Nutzung sperren.
13. Vertraulichkeit und Datenschutz
Jede Partei behandelt die nicht öffentlichen Informationen der anderen vertraulich. Die Bearbeitung von Personendaten ist in der Datenschutzerklärung beschrieben; für Daten, die der Kunde von seinem Steuerungs-Center bearbeiten lässt, handelt Alsyst als Auftragsbearbeiter nach dessen Weisungen.
14. Änderungen
Alsyst kann diese Bedingungen ändern. Wesentliche Änderungen werden mindestens 30 Tage vor ihrem Inkrafttreten mitgeteilt; der Kunde kann dann auf diesen Zeitpunkt kündigen. Massgebend ist die auf dieser Seite veröffentlichte Fassung.
15. Anwendbares Recht und Gerichtsstand
Diese Bedingungen unterstehen Schweizer Recht unter Ausschluss der Kollisionsnormen und des Wiener Kaufrechts (UN-Kaufrecht). Ausschliesslicher Gerichtsstand ist der Sitz der ATS Capital SA, vorbehältlich eines zwingenden Gerichtsstands.
Bei Abweichungen zwischen den Übersetzungen ist die französische Fassung massgebend.

1. Parti e campo di applicazione
Il fornitore è ATS Capital SA, Svizzera, che gestisce il marchio Alsyst («Alsyst»). Il cliente è l'azienda che crea l'account o effettua l'ordine («il cliente»).
Il servizio è destinato esclusivamente alle aziende e ai professionisti, e non ai consumatori. Le condizioni particolari convenute per scritto (offerta, contratto) prevalgono sulle presenti condizioni generali.
2. Il servizio
Alsyst progetta, installa e gestisce un centro di controllo aziendale configurato per il cliente (progetti, compiti, team, clienti, obiettivi, budget, documenti, automazioni, agenti IA, ecc.).
Il percorso comprende: una demo configurata (prototipo accessibile per 30 giorni, con un numero di adeguamenti inclusi in funzione della formula), la progettazione e l'installazione, la messa in produzione e infine l'abbonamento mensile. Il contenuto esatto dipende dalla formula, dai moduli e dalle opzioni scelti e riepilogati nell'area clienti al momento dell'ordine.
3. Account
Il cliente fornisce informazioni esatte e aggiornate e protegge l'accesso alla propria casella di posta elettronica, utilizzata per accedere al servizio. Ogni azione effettuata dall'account è considerata compiuta dal cliente. Il cliente segnala senza indugio qualsiasi utilizzo non autorizzato.
4. Prezzi, pagamento e fatture
I prezzi indicati sono per azienda, al netto delle imposte (IVA in aggiunta, se del caso), in CHF, EUR o USD a seconda del paese. L'importo fatturato è quello calcolato e visualizzato al momento dell'ordine.
I pagamenti avvengono tramite Stripe. La demo (CHF 190 o l'equivalente) è dedotta dal prezzo dell'installazione se il cliente prosegue. Ogni fase (demo, installazione, messa in produzione) è pagata prima di essere eseguita.
L'abbonamento è sottoscritto per 12 mesi, pagabile mensilmente, e si rinnova poi di mese in mese salvo disdetta (punto 12). Gli importi pagati non sono rimborsabili una volta iniziata la prestazione corrispondente, salvo accordo scritto di Alsyst.
5. Demo e adeguamenti
La demo è un prototipo dimostrativo: può contenere dati di esempio e non costituisce il prodotto finale. Gli adeguamenti inclusi nella formula sono trattati nell'ordine di ricevimento; le richieste supplementari o al di fuori dell'ambito previsto sono oggetto di un preventivo preliminare.
6. Collaborazione del cliente
Il cliente fornisce tempestivamente le informazioni, i contenuti, gli accessi e le approvazioni necessari. I termini di Alsyst sono prorogati in misura corrispondente in caso di ritardo del cliente. Il cliente garantisce di disporre dei diritti sui contenuti che trasmette (logo, testi, dati) e che il loro utilizzo non viola alcun diritto di terzi.
7. Connessioni ai vostri strumenti e chiavi di accesso
Il cliente può affidare ad Alsyst chiavi di accesso (API) ai propri strumenti di terzi, una volta pagata l'implementazione. Autorizza Alsyst a utilizzarle esclusivamente per configurare e far funzionare le connessioni richieste.
Il cliente rimane titolare e responsabile dei propri account di terzi, delle relative condizioni d'uso e dei relativi costi. Si raccomanda di fornire chiavi con diritti limitati; il cliente può revocarle in qualsiasi momento, ma la revoca può interrompere le connessioni interessate.
Alsyst non è responsabile delle interruzioni, delle modifiche delle condizioni, dei limiti o delle modifiche tecniche dei servizi di terzi, né delle conseguenze di una chiave errata, scaduta o revocata.
8. Intelligenza artificiale e contenuti generati
Il servizio utilizza modelli di intelligenza artificiale (assistente, agenti, sintesi, bozze). I loro risultati possono essere incompleti o inesatti e devono essere verificati dal cliente prima di qualsiasi decisione o invio.
Le risposte dell'assistente e degli agenti non costituiscono una consulenza giuridica, fiscale, contabile, finanziaria o in materia di sicurezza. Le aziende, le cifre e le situazioni presentate negli esempi del sito sono fittizie e a titolo illustrativo.
9. Disponibilità ed esclusione di garanzia
Alsyst adotta mezzi ragionevoli per garantire la disponibilità e la sicurezza del servizio, senza garantire un funzionamento ininterrotto o privo di errori. Possono essere effettuati interventi di manutenzione; gli interventi pianificati rilevanti sono annunciati in anticipo, ove possibile.
Alsyst non garantisce alcun risultato economico particolare (risparmio di tempo, risparmi, fatturato). Le stime presentate sul sito o negli scambi hanno carattere indicativo. Il cliente rimane il solo responsabile delle proprie decisioni, dell'esattezza dei dati che inserisce e del loro salvataggio quando provengono dai suoi sistemi.
10. Responsabilità
Alsyst risponde dei danni causati intenzionalmente o per negligenza grave. Nella misura consentita dalla legge, ogni altra responsabilità è esclusa, così come la responsabilità per i danni indiretti o consequenziali (mancato guadagno, perdita di dati, interruzione dell'attività, danno reputazionale).
In ogni caso, la responsabilità complessiva di Alsyst è limitata agli importi pagati dal cliente nei 12 mesi precedenti l'evento dannoso. Tali limiti non si applicano quando la legge lo vieta.
11. Proprietà intellettuale e dati
Alsyst conserva tutti i diritti sulla propria piattaforma, sui propri modelli, sul proprio codice e sul proprio metodo. Per la durata dell'abbonamento, il cliente ottiene un diritto d'uso non esclusivo e non trasferibile del proprio centro di controllo.
Il cliente rimane proprietario dei propri dati. Alla fine del contratto, può chiederne l'esportazione in un formato comune entro 30 giorni; successivamente i dati sono cancellati, fatti salvi gli obblighi legali di conservazione. Alsyst può citare il cliente come referenza con il suo consenso.
12. Durata e disdetta
L'abbonamento ha durata di 12 mesi a decorrere dalla messa in produzione, poi prosegue di mese in mese. Può essere disdetto per scritto (e-mail) con un preavviso di un mese per la fine del periodo di impegno o, successivamente, per la fine di un mese.
Ciascuna parte può recedere con effetto immediato in caso di grave violazione non sanata entro 14 giorni dalla diffida, in particolare in caso di mancato pagamento. Alsyst può sospendere l'accesso in caso di ritardo nel pagamento o di utilizzo abusivo.
13. Riservatezza e protezione dei dati
Ciascuna parte tratta come riservate le informazioni non pubbliche dell'altra. Il trattamento dei dati personali è descritto nell'informativa sulla protezione dei dati; per i dati che il cliente fa trattare dal proprio centro di controllo, Alsyst agisce in qualità di responsabile del trattamento secondo le sue istruzioni.
14. Modifiche
Alsyst può modificare le presenti condizioni. Le modifiche importanti sono comunicate almeno 30 giorni prima della loro entrata in vigore; il cliente può quindi disdire per tale data. Fa fede la versione pubblicata su questa pagina.
15. Diritto applicabile e foro
Le presenti condizioni sono rette dal diritto svizzero, ad esclusione delle norme sul conflitto di leggi e della Convenzione di Vienna sulla vendita internazionale di merci. Il foro esclusivo è la sede di ATS Capital SA, fatto salvo un foro imperativo.
In caso di divergenza tra le traduzioni, fa fede la versione francese.

These general terms and conditions govern the use of Alsyst Control Center and the services ordered from controlcenter.alsyst.com. By creating an account or placing an order, you accept them on behalf of your company.
1. Parties and scope
The service provider is ATS Capital SA, Switzerland, which operates the Alsyst brand (“Alsyst”). The customer is the company that creates the account or places the order (the “Customer”).
The service is intended exclusively for businesses and professionals, not for consumers. Special terms agreed in writing (offer, contract) prevail over these general terms and conditions.
2. The service
Alsyst designs, installs and operates a business control center configured for the Customer (projects, tasks, teams, customers, objectives, budgets, documents, automations, AI agents, etc.).
The process comprises: a configured demo (a prototype accessible for 30 days, with a number of adjustments included depending on the plan), design and installation, go-live, then the monthly subscription. The exact content depends on the plan, modules and options chosen and summarised in the client area at the time of the order.
3. Account
The Customer provides accurate and up-to-date information and protects access to its mailbox, which is used to sign in. Any action taken from the account is deemed to have been taken by the Customer. The Customer shall report any unauthorised use without delay.
4. Prices, payment and invoices
The prices displayed are per company, exclusive of taxes (VAT in addition where applicable), in CHF, EUR or USD depending on the country. The amount invoiced is the one calculated and displayed at the time of the order.
Payments are made through Stripe. The demo (CHF 190 or the equivalent) is deducted from the installation price if the Customer proceeds. Each stage (demo, installation, go-live) is paid for before it is carried out.
The subscription is entered into for 12 months, payable monthly, and then renews month by month unless terminated (section 12). Amounts paid are non-refundable once the corresponding service has begun, unless Alsyst agrees otherwise in writing.
5. Demo and adjustments
The demo is a demonstration prototype: it may contain sample data and does not constitute the final product. Adjustments included in the plan are handled in the order received; additional or out-of-scope requests are subject to a prior quotation.
6. Customer cooperation
The Customer provides in good time the information, content, access and approvals required. Alsyst’s deadlines are extended accordingly in the event of delay by the Customer. The Customer warrants that it holds the rights to the content it provides (logo, texts, data) and that its use infringes no third-party rights.
7. Connections to your tools and access keys
The Customer may entrust Alsyst with access keys (API keys) to its third-party tools, once the setup has been paid for. It authorises Alsyst to use them solely to set up and operate the connections requested.
The Customer remains the holder of, and is responsible for, its third-party accounts, their terms of use and their costs. It should preferably provide keys with limited rights and may withdraw them at any time; withdrawal may interrupt the connections concerned.
Alsyst is not liable for interruptions, changes of terms, limits or technical modifications of third-party services, nor for the consequences of an incorrect, expired or revoked key.
8. Artificial intelligence and generated content
The service uses artificial intelligence models (assistant, agents, summaries, drafts). Their outputs may be incomplete or inaccurate and must be checked by the Customer before any decision or dispatch.
The responses of the assistant and the agents do not constitute legal, tax, accounting, financial or security advice. The companies, figures and situations presented in the examples on the website are fictitious and illustrative.
9. Availability and disclaimer
Alsyst uses reasonable means to ensure the availability and security of the service, without guaranteeing uninterrupted or error-free operation. Maintenance may take place; significant planned interventions are announced in advance where possible.
Alsyst does not guarantee any particular economic result (time savings, cost savings, turnover). Estimates presented on the website or in discussions are indicative. The Customer remains solely responsible for its decisions, for the accuracy of the data it enters and for backing it up where it originates from its own systems.
10. Liability
Alsyst is liable for damage caused intentionally or by gross negligence. To the extent permitted by law, any other liability is excluded, as is liability for indirect or consequential damage (loss of profit, data or business, damage to reputation).
In all cases, Alsyst’s total liability is limited to the amounts paid by the Customer in the 12 months preceding the event giving rise to the damage. These limits do not apply where the law prohibits it.
11. Intellectual property and data
Alsyst retains all rights in its platform, models, code and method. For the duration of the subscription, the Customer obtains a non-exclusive, non-transferable right to use its control center.
The Customer remains the owner of its data. At the end of the contract, it may request an export in a common format for 30 days; the data is then deleted, subject to statutory retention obligations. Alsyst may cite the Customer as a reference with its consent.
12. Term and termination
The subscription runs for 12 months from go-live, and then continues month by month. It may be terminated in writing (e-mail) subject to one month’s notice to the end of the commitment period or, thereafter, to the end of a month.
Either party may terminate with immediate effect in the event of a serious breach not remedied within 14 days of a formal notice, in particular in the event of non-payment. Alsyst may suspend access in the event of late payment or abusive use.
13. Confidentiality and data protection
Each party shall keep the other’s non-public information confidential. The processing of personal data is described in the privacy policy; for data that the Customer has processed by its control center, Alsyst acts as processor on its instructions.
14. Changes
Alsyst may amend these terms. Material changes are notified at least 30 days before they take effect; the Customer may then terminate with effect from that date. The applicable version is the one published on this page.
15. Governing law and jurisdiction
These terms are governed by Swiss law, to the exclusion of its conflict-of-laws rules and of the Vienna Convention on the International Sale of Goods. The exclusive place of jurisdiction is the registered office of ATS Capital SA, subject to any mandatory place of jurisdiction.
The French version prevails in the event of discrepancy between the translations.
